Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 27, 2021, Mr. Andrew Waite, a member of the Forum Energy Technologies, Inc. (the “Company”) board of directors (the “Board”) and the Nominating, Governance & Sustainability Committee, notified the Company of his retirement from the Board, effective on December 31, 2021. Mr. Waite’s retirement is not the result of any disagreement with the Company on any matter relating to its operations, policies, practices or otherwise.
